A LLC means limited liability company, its is the combination of partnership, sole-proprietorship, and corporation. When we deal with a LLC, the owners are not held accountable for their company’s debts or liabilities. I think a LLC would be best for me because I can choose how I want to set up and run things in my business. I would not go into a partnership with anyone because it’s just too conflicting. People change and even decide to quit and give uo on you leaving you with everything to handle on your own, so you may as well just start out alone.

Sole proprietorship, partnership, LLC and corporations all have different aspects that make each different and beneficial in their own way. A partnership is a business structure in which the owners (partners) share the profits and losses. A LLC is a corporate structure where the owners are not personally liable for the company’s debts and liabilites. A sole proprietorship is a enterprise that is owned and run by one person , there is no legal distinction between the owner and the business entity. You are able to do business under your own name and pay personal taxes on profits earned. A corporation enjoys most of the rights and responsibilities that individuals possess.They are able to enter contracts, loan and borrow money, sue and be sued, own assets and pay taxes.

If I was starting a business with a long term intent I would ideally want a corporation. You have control over every aspect of your business and it is more work. If I wanted to start a small business on the side, I would choose a sole proprietorship because I would want to work under my own name and have less responsibility than a corporation. Also if I was wanting to sell and unoriginal product and make profit I would do it under a LLC so that I can split some of the responsibility. I can not say that I would not use any of these business entities, I could see myself working in a partnership as well . A partnership could be beneficial in splitting the responsibilites as well as good for growing a company starting up. You could work closely and combine business ideas.

Contracts are the backbone of every business. Most are in writing but even those that are oral are just as important. Contracts are the tools that enforce promises between all parties included. However, there are formal requirements that must be fulfilled for a contract to be considered enforceable. Typically an offer, acceptance, consideration, legality and capacity are required. Do you believe contracts should require fewer formalities to be enforceable? Lastly, have you ever experienced a breach of a contract? How did you handle the consequences from the breach?

Class,

The formal requirements should definitely remain in place because both parties are protected in case something goes wrong. Although verbal contracts are enforceable, they are much harder to prove. The phrase “If it is not on paper it did not happen”. You have to make sure you and the other party are protected in the event things go south. The experience I had with this is that my car was acting up and I could not figure out why. I brought it to the mechanic so he can take a look and tell me exactly what is wrong with it. He went ahead and fixed it without calling me or letting me know the price (came out to about $400.00 for a heater core). I explained to him that I was not obliged to pay it because all I wanted was a quote. We came to the agreement that I paid half of what it was originally. I pretty sure I would have won that battle if I wanted the hassle.

I do have a big issue with verbal contracts. Verbal contract is not completely solid. Most Verbal contract/agreement been done in private and can almost if not always be denied.

I had experience a breach of contract before. I was told verbally that I would be making $40,000.00 a year which was a verbal job offer was. Before I put my resignation with the previous employer. I asked for a formal offer letter in written. They sent it to but without the wages. I replied and stated that I need the job offer with wages amount. She replied that I would be making $34,000 plus commission. I replied right back and stated that we did not discussed anything about commission what so ever. I was promised to earn $40k. I told her that if I couldn’t not receive $40,000 as promised I was going to reject the offer. They gave $40,000 without commission just because I know the owner of the company otherwise that would of not happen. Verbal contract should not be enforceable; however if it is to be enforceable, it should always require a witness
